Terms and Conditions

These Terms and Conditions establish the rules governing access to TechCompanyRecruiters.com and define the contractual relationship between TechCompanyRecruiters.com (“Company”) and its clients.

Key Definitions

For clarity, the following terms are used throughout these Terms:

  • Agreement – these Terms and Conditions together with any proposal, statement of work, or written agreement accepted by the client.
  • Client Content – any materials, data, text, images, or information supplied by the client for use within a project.
  • Services – recruitment, staffing, consulting, or related services provided by the Company.
  • Project – the scope of work described in an accepted Agreement.
  • Deliverables – outputs produced in connection with the Services.
  • Final Deliverables – Deliverables approved by the client following review.
  • Company Tools – internal methods, processes, templates, databases, software, code, and technical resources developed or used by the Company.
  • Third-Party Materials – content or tools licensed or supplied by external providers.

Services and Delivery

The Company will perform the Services in accordance with the agreed scope, milestones, and timelines set out in the Agreement. Services not expressly included are outside the scope unless otherwise agreed in writing.

Proposals and Validity

Proposals issued by the Company remain open for acceptance for 30 calendar days. Proposals not accepted within this period may be withdrawn, amended, or reissued at the Company’s discretion.

Fees, Costs, and Expenses

  • Service Fees. Fees for Services, including applicable taxes, are payable according to the schedule outlined in the Agreement.
  • Additional Costs. Costs relating to third-party services, platforms, subscriptions, or licenses are billed separately unless explicitly included.
  • Expenses. Approved out-of-pocket expenses incurred in connection with the Project will be charged to the client at cost.

Invoicing and Payment

  • Invoices are payable within 5 calendar days of issue.
  • Payment milestones follow the project plan defined in the Agreement.
  • Failure to pay on time may result in suspension of Services until payment is received.

Changes to the Project Scope

  • Change Requests. Any request to modify the Project must be submitted in writing. The Company will evaluate the request and respond within 5 business days with details of pricing and timeline impact.
  • Minor Adjustments. Changes assessed as limited in scope or effort may be charged at standard hourly rates and may affect delivery timelines.
  • Significant Modifications. Requests that materially increase the workload or scope of the Project require a revised or additional proposal. Work will pause until the updated terms are approved in writing.

Clients must approve revised proposals within 14 business days. Unapproved changes do not obligate the Company to proceed.

Project Delays

  • Client-Caused Delays. Delays resulting from late feedback, approvals, or provision of materials by the client extend delivery timelines on a day-for-day basis.
  • Company-Caused Delays. If delays arise due to internal issues, the Company will notify the client promptly.
  • External Events. Delays caused by circumstances beyond the reasonable control of either party, including natural events, regulatory actions, labor disputes, or force majeure, do not constitute breach and extend timelines accordingly.

Review, Testing, and Acceptance

The Company will apply commercially reasonable testing before submitting Deliverables.
The client has 7 business days to approve or reject Deliverables in writing, providing specific feedback. The Company will address reported issues within 14 business days, after which the client has a further 7 days for review.

Client Responsibilities

The client agrees to:

  • Ensure that provided materials are lawful, accurate, and suitable for use
  • Verify and proofread all Client Content prior to submission
  • Make decisions related to third-party services without undue delay

Additional work required due to inaccurate or incomplete materials may be billed separately.

Attribution and Promotion

  • Accreditation. Unless otherwise agreed, the Company may include a credit reference or hyperlink within Deliverables.
  • Portfolio Use. The Company may showcase completed work for marketing, portfolio, or professional purposes.
  • Mutual Acknowledgment. Neither party shall unreasonably withhold consent to publicly acknowledge the other’s role in a Project.

Confidential Information

Information identified as confidential must be treated as such by both parties. Confidentiality obligations do not apply to information that:

  • Was already known without restriction
  • Becomes publicly available without breach
  • Is lawfully disclosed by a third party

Business Relationship

  • Use of Contractors. The Company may engage subcontractors while retaining full responsibility for Services.
  • Non-Exclusivity. The relationship is non-exclusive. Both parties may engage with other businesses.
  • Independent Contractor Status. Nothing in this Agreement creates an employment, partnership, or agency relationship. Services are not considered work made for hire unless expressly agreed.

Limitation of Liability

Services are provided “as available.” The Company’s total liability is limited to the fees paid for the relevant Services. The Company is not liable for indirect, incidental, or consequential damages.

Intellectual Property and Usage Rights

Upon full payment, the client receives a non-exclusive, perpetual right to use Final Deliverables as agreed. Modification or derivative use requires written consent. All Company Tools, methodologies, and internal resources remain the exclusive property of the Company.

Support and Warranty

Reasonable post-delivery support may be provided at standard hourly rates. Any warranty is void if Deliverables are modified by third parties without authorization.
